PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT DISCLAIMERS OF WARRANTIES (SECTION 11), LIMITATIONS OF OUR LIABILITY (SECTION 12) AND YOUR OBLIGATION TO INDEMNIFY US (SECTION 13). BY USING TOOLFIELD YOU ACCEPT THESE TERMS IN FULL. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
PLAIN-LANGUAGE SUMMARY (the full Terms below prevail): the Services are provided free of charge, "AS IS" and "AS AVAILABLE", without any warranty of any kind. Your files are yours, and you alone are responsible for them, for what you create with the tools, and for keeping copies of your originals. Processed files are deleted automatically after a short window. To the maximum extent permitted by applicable law, ToolField accepts no responsibility or liability for any content or for any loss or damage arising from use of the Services.
1. WHO WE ARE AND ACCEPTANCE OF THESE TERMS
1.1. These Terms of Service ("Terms") form a legally binding agreement between you ("you", "your" or "User") and ToolField ("ToolField", "we", "us" or "our"), the operator of toolfield.com and its subdomains, applications, tools and related services (together, the "Services").
1.2. By accessing or using the Services in any way - including using any tool as a guest without creating an account - you confirm that you have read, understood and agree to be bound by these Terms, our Privacy Policy and our Cookie Policy, which are incorporated into these Terms by reference.
1.3. If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" includes that entity.
2. ELIGIBILITY
2.1. You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services on your own. If you are younger, you may use the Services only with the involvement and consent of a parent or legal guardian, and only if that is permitted where you live. The Services are not directed at children under 13 and we do not knowingly collect their data.
2.2. You may not use the Services if you are barred from doing so under any applicable law.
3. THE SERVICES
3.1. ToolField provides free online utilities - for example PDF, image, text and conversion tools. Some tools run entirely in your browser ("In-Browser Tools") and never transmit your files or text to us. Other tools process files on our servers ("Server Tools"): you upload a file over an encrypted connection, it is processed automatically by software, and the result is made available to you through a short-lived download link.
3.2. The Services are currently provided free of charge. We may introduce paid plans or premium features in the future; if we do, they will be governed by additional terms presented at that time.
3.3. We are constantly improving the Services and may add, change, suspend or remove any tool or feature, in whole or in part, at any time, with or without notice, and - to the maximum extent permitted by law - without liability to you.
4. YOUR FILES AND CONTENT
4.1. "Your Content" means any file, document, image, text or other material that you upload to, process with, write in, or create through the Services.
4.2. You retain all ownership and intellectual-property rights in Your Content. We claim no ownership whatsoever.
4.3. Solely to operate the Services, you grant ToolField a limited, non-exclusive, worldwide, royalty-free licence to host, store, transmit, reproduce and modify Your Content only as necessary to perform the operation you request (for example merging, compressing or converting a file) and to deliver the result back to you. This licence ends when Your Content is deleted from our systems.
4.4. Automatic deletion. Files processed by Server Tools (both inputs and outputs) are deleted automatically after a short retention window (currently approximately 2 hours). Attachments submitted with support requests are kept for a short period (currently approximately 7 days) so we can resolve your request. We have no obligation - and after deletion generally no ability - to recover Your Content. ALWAYS KEEP YOUR OWN COPIES OF YOUR ORIGINAL FILES.
4.5. No review; no knowledge. The Services are fully automated. We do not open, read, review, moderate, analyse or monitor the content of the files you process, and we have no effective knowledge of what they contain. ToolField acts purely as a technical, automatic and passive conduit for content that you alone choose and control.
4.6. SOLE RESPONSIBILITY FOR CONTENT. You are solely and exclusively responsible for Your Content - including its legality, accuracy, quality, integrity, safety and intellectual-property compliance - for the results you generate with the Services, and for any use you or anyone else makes of those results. To the maximum extent permitted by applicable law, ToolField accepts no responsibility or liability whatsoever for Your Content, for anything written, uploaded, processed, generated or shared by you or by any other user or third party through the Services, or for any loss, damage, claim or harm arising from any of it.
4.7. You represent and warrant that you own Your Content or hold all rights, consents and permissions needed to process it through the Services, and that Your Content and your use of the Services do not and will not infringe or violate the rights of any third party or any applicable law.
5. ACCEPTABLE USE
5.1. You agree to use the Services only for lawful purposes and in accordance with these Terms. You must NOT:
(a) upload, process or distribute content that is unlawful, infringing, defamatory, obscene, child-exploitative, hateful, harassing, fraudulent or otherwise objectionable;
(b) infringe any copyright, trademark, trade secret, privacy, publicity or other right of any person;
(c) upload or transmit viruses, malware, trojans or any other harmful code;
(d) attempt to gain unauthorised access to the Services, to data of other users, or to any related system or network, or probe, scan or test their vulnerability;
(e) interfere with or disrupt the Services, including denial-of-service attacks or imposing an unreasonable load on our infrastructure;
(f) access the Services by automated means (bots, scrapers, crawlers) or process files at volumes beyond what a human user could reasonably achieve, except through interfaces we expressly provide;
(g) circumvent, disable or abuse rate limits, usage limits, security or authentication measures;
(h) resell, sublicense, rent or otherwise commercially exploit the Services without our prior written consent;
(i) copy, modify, reverse engineer, decompile or create derivative works of the Services, or use the Services or their output to train artificial-intelligence or machine-learning models, without our prior written consent;
(j) misrepresent your identity or affiliation, or use the Services to deceive or mislead others, including creating deceptive synthetic media;
(k) use the Services in violation of applicable export-control or sanctions laws.
5.2. We may - but have no obligation to - investigate suspected violations, and may throttle, suspend or block access, remove content and/or terminate use, at our sole discretion, without notice and, to the maximum extent permitted by law, without liability.
6. INTELLECTUAL PROPERTY AND FEEDBACK
6.1. The Services - including all software, design, text, graphics, logos, trademarks and other materials, but excluding Your Content - are owned by ToolField or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. No other rights are granted.
6.2. "ToolField" and the ToolField logo may not be used without our prior written permission.
6.3. If you send us feedback, suggestions or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them for any purpose, without any obligation or compensation to you.
7. CONTRIBUTIONS AND DONATIONS
7.1. The Services may allow you to make a voluntary financial contribution (a donation or tip). Contributions are entirely voluntary, are not payment for goods or services, confer no additional rights or features, and are NON-REFUNDABLE, except where a refund is required by applicable law or where we choose, at our sole discretion, to refund a duplicate or clearly erroneous transaction. Contact us promptly if you believe a payment was made in error.
7.2. Payments are processed by independent third-party payment gateways (for example Razorpay). Your payment is subject to the terms and privacy policy of the gateway; we never receive or store your full card or banking details. We are not responsible for the acts, omissions or availability of any payment gateway.
8. THIRD-PARTY SERVICES AND LINKS
8.1. The Services may contain links to, or rely on, third-party websites, content and services (for example content-delivery networks, payment gateways or external resources). We do not control and are not responsible for any third-party website, content, product or service, and a link does not imply endorsement. Your dealings with third parties are solely between you and them.
9. AVAILABILITY AND USAGE LIMITS
9.1. We aim for a high level of availability but DO NOT guarantee that the Services will be uninterrupted, timely, secure, error-free or free of harmful components, or that defects will be corrected. The Services may be unavailable due to maintenance, upgrades, failures of networks, hosting or other infrastructure, or events beyond our reasonable control.
9.2. We may impose or change usage limits (for example file counts, file sizes or rate limits) at any time.
10. PRIVACY
10.1. Our Privacy Policy explains what data we collect and how we handle it, and our Cookie Policy explains our use of cookies. Both are available on the Services and form part of these Terms.
11. DISCLAIMER OF WARRANTIES
11.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL RESULTS, OUTPUTS AND CONTENT PROVIDED THROUGH THEM ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY, REPRESENTATION OR CONDITION OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY - INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, QUIET ENJOYMENT AND NON-INFRINGEMENT.
11.2. WITHOUT LIMITING THE FOREGOING, TOOLFIELD DOES NOT WARRANT THAT: (a) THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (b) THE SERVICES WILL BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (c) ANY OUTPUT OR RESULT WILL BE ACCURATE, COMPLETE, RELIABLE OR FIT FOR ANY PURPOSE; (d) ANY FILE WILL BE PRESERVED, RECOVERABLE OR FREE OF CORRUPTION OR LOSS; OR (e) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE SERVICES, AND RELY ON ANY OUTPUT, ENTIRELY AT YOUR OWN RISK AND JUDGEMENT.
11.3. NOTHING PROVIDED THROUGH THE SERVICES CONSTITUTES PROFESSIONAL, LEGAL, FINANCIAL, MEDICAL OR OTHER ADVICE.
11.4. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In that case any mandatory warranty applies only to the minimum extent and duration required by law.
12. LIMITATION OF LIABILITY
12.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TOOLFIELD OR ITS OWNERS, OPERATORS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, FILES OR CONTENT, OR FOR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS - WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.2. THE SERVICES ARE PROVIDED FREE OF CHARGE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOOLFIELD WILL HAVE NO LIABILITY WHATSOEVER ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE FREE SERVICES, EXCEPT WHERE THE LOSS IS CAUSED BY OUR OWN FRAUD, WILFUL MISCONDUCT OR GROSS NEGLIGENCE.
12.3. IF, NOTWITHSTANDING THE ABOVE, TOOLFIELD IS FOUND LIABLE TO YOU, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (a) THE TOTAL AMOUNT (IF ANY) YOU PAID TO TOOLFIELD IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (b) USD 10 (OR ITS EQUIVALENT IN LOCAL CURRENCY).
12.4. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOOLFIELD IS NOT RESPONSIBLE OR LIABLE FOR: (a) YOUR CONTENT, OR ANY CONTENT WRITTEN, UPLOADED, PROCESSED, GENERATED OR SHARED BY YOU OR ANY OTHER USER OR THIRD PARTY; (b) ANY LOSS, CORRUPTION OR UNAVAILABILITY OF FILES, OR YOUR FAILURE TO KEEP COPIES OF YOUR ORIGINALS; (c) ANY USE YOU OR ANYONE ELSE MAKES OF ANY OUTPUT; (d) THIRD-PARTY SERVICES, NETWORKS, GATEWAYS OR LINKED SITES; (e) EVENTS BEYOND OUR REASONABLE CONTROL (SECTION 18.5); OR (f) UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA THAT IS NOT ATTRIBUTABLE TO OUR BREACH OF THESE TERMS.
12.5. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law - including, where applicable, liability for death or personal injury caused by negligence, liability for fraud or fraudulent misrepresentation, or your non-waivable statutory rights as a consumer. Where such law applies, our liability is limited to the minimum extent it permits.
12.6. To the extent permitted by law, any claim must be notified to us within 30 days of the date you become aware (or reasonably should have become aware) of the event giving rise to it, and any proceeding must be commenced within one (1) year of that date, failing which the claim is permanently barred.
13. INDEMNIFICATION
13.1. To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold harmless ToolField and its owners, operators, employees, contractors, agents, suppliers and licensors from and against any and all claims, demands, actions, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) Your Content; (b) your use or misuse of the Services or of any output; (c) your breach of these Terms or of any law; or (d) your infringement or violation of any right of any third party.
14. COPYRIGHT AND CONTENT COMPLAINTS
14.1. Files processed through the Services are private to the user who processes them, are not published by us, and are deleted automatically shortly after processing. We nevertheless respect intellectual-property rights. If you believe the Services have been used to infringe your rights, contact [email protected] with sufficient detail (the rights concerned, the material at issue, and your contact information) and we will review the matter and act as appropriate, including suspending abusive users.
15. SUSPENSION AND TERMINATION
15.1. You may stop using the Services at any time. If you do not agree with these Terms (or any update to them), your sole and exclusive remedy is to stop using the Services.
15.2. We may suspend or terminate your access to any or all of the Services at any time, with or without cause or notice and, to the maximum extent permitted by law, without liability to you. Sections that by their nature should survive termination (including Sections 4.6, 6, 11, 12, 13, 14, 17 and 18) survive.
16. CHANGES TO THESE TERMS
16.1. We may update these Terms from time to time (for example to reflect changes to the Services or to the law). The "Last updated" date above shows the current version, and material changes will be announced on the Services. Your continued use of the Services after a change takes effect constitutes acceptance of the updated Terms. If you do not agree, stop using the Services.
17. GOVERNING LAW AND DISPUTES
17.1. These Terms, and any dispute or claim arising out of or in connection with them or the Services, are governed by the laws of India, without regard to conflict-of-law principles, and - subject to Section 17.3 - the competent courts in India shall have exclusive jurisdiction.
17.2. Before starting any formal proceeding, you agree to first contact us at [email protected] and attempt in good faith to resolve the dispute informally for at least 30 days.
17.3. If you are a consumer habitually resident in a jurisdiction whose laws grant you mandatory protections or a mandatory forum (for example in the EU/EEA or the United Kingdom), nothing in this Section deprives you of those protections or that forum.
18. GENERAL
18.1. Entire agreement. These Terms (together with the Privacy Policy and Cookie Policy) are the entire agreement between you and ToolField regarding the Services and supersede all prior agreements on that subject.
18.2. Severability. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.
18.3. No waiver. Our failure to enforce any provision is not a waiver of it.
18.4. Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, reorganisation or sale of assets.
18.5. Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, labour disputes, governmental action, fire, flood, epidemics, power or telecommunications failures, or failures of hosting, network or other suppliers.
18.6. No agency. Nothing in these Terms creates any partnership, joint venture, employment or agency relationship between you and ToolField.
19. CONTACT
19.1. Questions about these Terms: [email protected], or use the contact form on the Services.
